Terms of Use (End User License Agreement)

1. Agreement to Terms

Welcome to Proply ("we," "our," or "us"). These Terms of Use ("Terms") constitute a legally binding agreement between you and Proply regarding your use of the Proply mobile application (the "App") and related services (collectively, the "Service").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Proply is a sports betting analytics application that provides:

• Player Prop Predictions: AI-powered predictions and analytics for player performance props across various sports, including NBA and NFL
• Top Picks: Daily curated selections with win probability assessments
• Parlays: Multi-leg parlay combinations (3-leg and 4-leg power plays) with odds analysis
• Player Analytics: Comprehensive player statistics, hit rates, trends, and performance metrics
• Player Search: Search and analyze players across supported sports
• Game Information: Upcoming games, schedules, and related sports data

Important: Proply is an informational and analytical tool designed to assist users in making informed decisions. The App does not facilitate or process any actual betting or wagering transactions. All predictions, analytics, and recommendations are provided for informational and entertainment purposes only.

3. Eligibility

You must be at least 18 years old (or the minimum legal age for sports gaming analysis in your jurisdiction) to use the App. By using Proply, you represent that you meet all eligibility requirements and that your use complies with applicable laws.

4. Service Limitations

4.1 No Betting Services Provided

Proply is an analysis and insights tool only. The App does not conduct, facilitate, or accept wagers. Any picks, projections, or insights provided are for informational and entertainment purposes only and do not guarantee results. Users are solely responsible for any decisions made using the App.

4.2 Not Financial, Legal, or Gambling Advice

All information, predictions, and analytics provided are general informational content, not advice. Proply does not provide:

• Financial or investment advice
• Gambling recommendations
• Legal advice

Users should exercise independent judgment and comply with all laws applicable to sports wagering in their region.

5. Intellectual Property & Prohibited Conduct

5.1 Intellectual Property Rights

All content in the App—including analytics, data models, design, software, and branding—is the exclusive property of the Company and is protected by copyright, trademark, and other intellectual property laws. Users may not copy, reverse engineer, resell, or redistribute any portion of the App without prior written consent.

5.2 Prohibited Conduct

You agree not to:

• Use the App for any illegal or unauthorized purpose
• Attempt to interfere with the operation or security of the App
• Scrape, harvest, or extract data from the App
• Share or resell access to the App or your subscription
• Use the App if prohibited by the laws of your jurisdiction

Violation may result in suspension or termination of your account.

6. Subscription Terms

6.1 Pro Membership

Proply offers a premium subscription service called "Pro Membership" (also referred to as "Proply Pro") that provides access to enhanced features, including:

• Unlimited access to daily top picks
• 3-leg and 4-leg parlay combinations (Power Plays)
• Elite Analytics Suite with detailed hit rates, trends, and performance metrics
• Player search functionality across all supported sports
• Advanced player prop analysis and insights

6.2 Subscription Plans

Pro Membership is available through the following auto-renewable subscription plans:

• Weekly Subscription: Billed weekly
• Monthly Subscription: Billed monthly
• Annual Subscription: Billed annually

Subscription prices are displayed in the App at the time of purchase and may vary by region. Prices are subject to change with notice.

6.3 Auto-Renewal

Your subscription will automatically renew at the end of each subscription period unless you cancel at least 24 hours before the end of the current period. Payment will be charged to your Apple ID account at the confirmation of purchase.

Your account will be charged for renewal within 24 hours prior to the end of the current subscription period. The cost of renewal will be the same as the initial subscription price, unless we notify you of a price change.

6.4 Managing Your Subscription

You can manage and cancel your subscription at any time by going to your Apple ID account settings on your device or through the App Store:

1. Open Settings on your iOS device
2. Tap your name at the top
3. Tap "Subscriptions"
4. Select "Proply" or "Pro Membership"
5. Tap "Cancel Subscription"

If you cancel your subscription, you will continue to have access to Pro Membership features until the end of your current billing period. After that, you will lose access to premium features.

6.5 Free Trials

If we offer a free trial period, it will be clearly indicated at the time of sign-up. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends.

6.6 Refunds

Refunds for subscriptions are handled in accordance with Apple's standard refund policy. Generally, refunds are not available for partially used subscription periods. If you believe you are entitled to a refund, please contact Apple Support directly, as all purchases are processed through the App Store.

6.7 Price Changes

We reserve the right to change subscription prices at any time. If we increase the price of your subscription, we will notify you at least 30 days in advance. If you do not wish to continue at the new price, you may cancel your subscription before the price change takes effect.

6.8 Subscription Termination

We reserve the right to terminate or suspend your subscription immediately, without notice, if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

7. User Accounts

7.1 Account Responsibility

You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

7.2 Account Sharing

Your subscription is personal to you and may not be shared with others. Sharing your account or subscription access with third parties is prohibited and may result in termination of your subscription without refund.

8. Disclaimers and Limitations of Liability

8.1 No Guarantees

CRITICAL: Proply provides predictions, analytics, and recommendations based on statistical analysis and algorithms. However:

• No predictions are guaranteed: Past performance does not guarantee future results
• No accuracy warranties: We do not warrant or guarantee the accuracy, completeness, or reliability of any predictions, analytics, or recommendations
• No betting advice: The information provided is not intended as financial, legal, or gambling advice
• User discretion required: All decisions regarding betting or wagering are solely your responsibility

8.2 No Liability for Losses

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• Proply is not responsible for any losses, damages, or negative outcomes resulting from your use of the App or reliance on any predictions, analytics, or recommendations
• We are not liable for any financial losses incurred from betting or wagering activities
• You assume all risk associated with using the information provided by the App
• The App is provided "as is" and "as available" without warranties of any kind

8.3 Service Availability

We do not guarantee that the App will be available at all times, uninterrupted, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

8.4 Data Accuracy

While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of any data, statistics, or information displayed in the App. Sports data is subject to change, and we are not responsible for any discrepancies.

9. Prohibited Uses

You agree not to:

• Use the App for any illegal purpose or in violation of any local, state, or federal law
• Reverse engineer, decompile, or disassemble the App
• Copy, modify, or create derivative works of the App
• Use automated systems, bots, or scrapers to access the App
• Attempt to gain unauthorized access to the App or its related systems
• Share your subscription or account with others
• Use the App to facilitate actual betting transactions (the App is for informational purposes only)
• Interfere with or disrupt the App or servers connected to the App
• Transmit any viruses, malware, or harmful code through the App

10. Intellectual Property

10.1 Ownership

The App, including all content, features, functionality, designs, logos, trademarks, and software, is owned by Proply and its licensors and is protected by copyright, trademark, and other intellectual property laws.

10.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App on your personal device for your personal, non-commercial use.

10.3 Restrictions

You may not:

• Copy, reproduce, or distribute any part of the App
• Use our trademarks, logos, or brand names without our prior written consent
• Remove any copyright, trademark, or other proprietary notices from the App

11. Third-Party Services

The App may integrate with or link to third-party services, including:

• RevenueCat: For subscription management and payment processing
• Apple App Store: For payment processing and subscription management
• Sports Data Providers: For game information, statistics, and player data

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

12. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

13. Termination

13.1 Termination by You

You may stop using the App at any time by uninstalling it from your device. Canceling your subscription does not automatically delete your account or data.

13.2 Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent, abusive, or illegal activity
• Use the App in a manner that could harm us or other users
• Fail to pay subscription fees when due

13.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• You will lose access to Pro Membership features
• We may delete your account and associated data
• Provisions that by their nature should survive termination will survive

14. Compliance with Laws

You are solely responsible for ensuring that your use of the App complies with all applicable laws in your jurisdiction, including:

• Laws regarding sports betting and gambling
• Age restrictions for betting-related services
• Prohibitions on online gambling in certain jurisdictions
• Any other applicable local, state, or federal laws

Proply does not provide legal advice. If you are unsure whether using the App is legal in your jurisdiction, please consult with a legal professional.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution Process

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

16. Changes to the Service

We reserve the right to:

• Modify, update, or discontinue any features of the App at any time
• Change subscription prices with notice
• Add or remove supported sports or features
• Update these Terms as needed

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proply regarding the App and supersede all prior agreements and understandings.
